Contractual terms governing the use of the Pricing Fox web application
Contracting parties
1. Bidding Fox technologies, s.r.o., Pavlovská 12, 623 00 Brno, Company ID: 04677200 (the “Operator”), creator of the Pricing Fox application.
2. The person (natural or legal) who has ordered services from the Operator under the conditions below (the “User”).
Preamble
The following text constitutes contractual terms. By accepting them, the User of the Pricing Fox web application undertakes to comply with the rules set out herein (the “Terms”). If the User breaches the Terms, the Operator of the Pricing Fox web application may apply the measures set out in these Terms.
Subject matter
- The subject of the agreement is the provision of a licence or, where applicable, a sublicence to use Pricing Fox, an online service for optimising product advertising on Zboží.cz, Heureka.cz, Heureka.sk, Seznam.cz and similar websites (also referred to as “sales platforms”).
- The know-how contained in Pricing Fox forms part of a trade secret and is protected by copyright law.
Rights and obligations
- Under this agreement, the Operator, as the licence provider, grants the User a licence to use Pricing Fox.
- The licence is non-exclusive and is provided for a fee.
- The User may not make the subject of the licence available to third parties. This means that the User may not make the results of using Pricing Fox available to third parties, rent or lend the service or otherwise allow third parties to use it. The User may not modify or alter the application.
- The User must use the application in accordance with applicable law and these licence terms.
- The User may report technical errors, suggestions and comments concerning Pricing Fox by email to podpora@pricingfox.cz or at https://forum.mergado.cz/c/apps/pricing-fox/63.
- The Operator acknowledges technical errors if the User reports them promptly after they occur, and no later than 14 days after their occurrence.
- The User acknowledges that anonymised information entered into the application may be used by the Operator for machine learning or for other research, design and development of improvements to Pricing Fox.
Payments
- The price for using the application is stated in the price list available at https://pricing-fox.com/pricing.
- The fee is payable monthly in advance on the basis of an invoice sent by the Operator to the User at the beginning of each period for which the licence is provided.
- By agreement with the Operator, the billing period may be extended to 12 months. In that case, the fee for using the application is payable in advance on the basis of an invoice sent by the Operator to the User at the beginning of each period for which the licence is provided.
- Invoices are due within 10 days of receipt. If the User identifies an error on an invoice, the User may request a correction in writing no later than the due date.
- Invoices will be sent to the contact email address provided by the User during registration or to the billing email address specified in the Mergado user account settings at https://accounts.mergado.com/.
Duration and termination of the licence
- The licence is granted for an indefinite period.
- The licence may end by notice or unilateral termination.
- The notice period is governed by the Mergado licence terms (https://www.mergado.cz/podminky-uzivani).
- The Operator may terminate this agreement and the provision of the licence if:
- the User fails to pay the monthly licence fee within 10 days after its due date;
- the User breaches the contractual and licence terms.
- The User may terminate the contractual relationship if the Operator breaches the contractual and licence terms.
- The User is not entitled to a refund of the fee or any part thereof.
Artificial intelligence and AI assistants
- The Service may include features using artificial intelligence (“AI Features”), particularly an AI chat serving as a help resource, a consultation tool and a means of suggesting changes within applications operated by the Provider or within Mergado Editor.
- The AI chat has access to User data only in anonymised form, without the possibility of identifying its originator. This data may also be used for machine learning of AI Features.
- AI Features may use third-party technologies, particularly language model providers such as OpenAI or Anthropic. The Provider may change these providers or specific AI models in the future without changing the nature of the service provided.
- AI Feature outputs are generated automatically and may be inaccurate, incomplete or misleading and may not be unique. The Provider is not liable for decisions or actions taken by the User on the basis of these outputs. The User must verify all AI Feature outputs before using them.
- AI Features are available exclusively to logged-in users of the Service and are not intended for anonymous use.
Operator liability
- The User uses Pricing Fox and its optional components at their own risk. The Operator is not liable for damage arising in connection with or as a result of using the application or its optional components.
- The Operator therefore bears no liability for the User’s loss of profit or indirect damage, including legal advice, audits, stocktaking or data loss costs, costs arising from business interruption, substitute performance, compensation or contractual penalties paid by the User to third parties, and costs associated with unblocking the User’s seller account on sales platforms.
- The Operator bears no liability for unlawful content published by the User, particularly content infringing third-party intellectual property or personal rights, contrary to good practice or in breach of the law.
- The Operator is neither a party to agreements between the User and sales platform operators or between the User and their customers, nor an intermediary in relationships between the User and customers. The Operator is not liable for damage resulting from non-performance or improper performance of those agreements.
- The Operator is not liable to the User for damage caused by circumstances beyond the Operator’s control, particularly force majeure within the meaning of Section 2913 of Act No. 89/2012 Coll., the Civil Code.
Final and other provisions
- These Terms and all legal relationships arising from them are governed by the applicable laws of the Czech Republic.
- Any disputes arising from these Terms between the Operator and the User will be resolved by agreement. If no agreement can be reached, the parties agree that the Regional Court in Brno will have jurisdiction.
- The Operator reserves the right to amend the licence terms in the future and must notify the User of such changes.
These Terms take effect on 1 January 2026.
